Draft Board Resolution for Extension of time for holding AGM

     


As per the provisions of second proviso of section 96(1) of the Companies Act, 2013 the Registrar may, for any special reason, extend the time within which any annual general meeting, other than the first annual general meeting, shall be held, by a period not exceeding three months. So if ROC satisfied with the reasons given by you it can provide the extension for a period of 3 months. So with the extension you can hold the AGM till the 31st December of the concerning Financial Year.

RESOLVED THAT pursuant to the provisions of proviso to section 96(1) of the Companies Act, 2013, approval of the Board be and is hereby accorded to make an application to the Registrar of Companies, seeking its approval to grant extension of 3 months’ time for holding the next Annual General Meeting of the Company i.e. on or before 31st December 20__.

RESOLVED FURTHER THAT Shri…………., Director of the Company be and is hereby authorized to make, sign and file the requisite application to the ROC, for and on behalf of the Company and to do all such acts, deeds and things as may be required or considered necessary or incidental thereto.”
