Draft Board Resolution for Disclosure of Interest by Directors



As per the provisions of section 184 of Companies Act, 2013 all the directors required to give the notice of their concern or interest in any other company or companies or bodies corporate, firms or other association of individuals and/or in a contract or arrangement or proposed contract or arrangement entered into or to be entered with a body corporate or firm in which such director is directly or indirectly, concerned or interested.

Notice of interest received from directors are required to be placed in the board meeting for taking note. Accordingly the notice of interest received from directors in the prescribed Form MBP – 1, are being placed before the board at Annexure – A for taking note.

Hence if approved following resolution may be passed:- 

"RESOLVED THAT pursuant to the provisions of Section 184 (1) of the Companies Act 2013, read with rule 9 (1) of the Companies (Meetings of Board and its Powers) Rules, 2014, the disclosure of interest received from the Directors of the Company as placed before the Board at Annexure - A, be and is hereby taken on record.


FURTHER RESOLVED THAT _____________ be and is hereby authorized to take all necessary actions to implement the board decision".
