As per the provisions of section 120 of the Companies Act 2013 Without prejudice to any other provisions of this Act, any document, record, register, minutes, etc.,—
(a) required to be kept by a company; or
(b) allowed to be inspected or copies to be given to any person by a company under this Act, may be kept or inspected or copies given, as the case may be, in electronic form in such form and manner as may be prescribed.


Board Resolution for Maintenance of Statutory Registers and Records in Electronic Form

RESOLVED THAT pursuant to the provisions of Section 120 read with Rule 27 of The Companies (Management and Administration) Rules, 2014, the consent of the Board of Directors be and is hereby accorded to convert the old physical register and records into electronic mode and adopt electronic mode for all or any of the records and documents of the company .
FURTHER RESOLVED THAT Mr. ____________, Managing Director /Secretary of the Company be and is hereby authorized to digitally sign the records, wherever it is required under the provisions of the Act or the rules made there under and to do all such acts, deeds, things and matters to maintain the records electronically in the manner as provided under sub-rule 2 of Rule 27 of The Companies (Management and Administration) Rules, 2014 to give effect to the Resolution.
FURTHER RESOLVED THAT Mr. ________________, Managing Director/ Company Secretary shall be responsible for the maintenance and security of electronic records in compliance of Rule 28 of The Companies (Management and Administration) Rules, 2014,”
